Terms of Service
Last updated: not yet in effect — draft. These terms govern your use of the UIOLI app and services ("the Service"), provided by Portobello. By creating an account you agree to them.
What the Service is — and is not
UIOLI is a substantiation tool. It helps you turn a receipt into a sealed, documented proof packet (a "ProofPacket") that you can present with a claim on your FSA or HRA. The division of labor is deliberate:
- You assert that an expense is a qualified medical cost, by attestation.
- The engine documents: line items, IRS Publication 502 categorizations, tiers, hashes, engine version. Determinations the app shows you at capture time are advisory aids, not decisions.
- Your plan or its TPA stamps — approves, denies, or asks for a letter of medical necessity. UIOLI never holds the rubber stamp.
The Service is not insurance, not a bank or custodial account, not a payment service, and not tax, legal, or medical advice. UIOLI never moves your money, never pays claims, and never certifies eligibility on its own authority. Whether an expense is reimbursable is governed by your plan documents and the IRS rules that apply to you; consult your plan administrator or a tax professional.
Your account
- You must provide accurate registration information and keep your credentials secure. You are responsible for activity on your account.
- One human per account. Do not share credentials or let others attest on your behalf.
- You may close your account via Settings. Closing ends access to the app; substantiation records tied to claims already made are retained as described in the Privacy Policy, because the record is what protects the claim.
Acceptable use
- Tell the truth on attestations. Knowingly false or inflated claims submitted through or about the Service may constitute fraud against your plan, your employer, or the government. We may report and may disable accounts in connection with abuse.
- Only submit receipts for expenses you (or a dependent your plan covers) actually incurred, and only upload other people's documents where you are authorized to act for them.
- Do not probe, scan, overload, or reverse-engineer the Service; do not use it to store or transmit anything unlawful; do not infringe the Service's security or the rights of others.
Research contribution
The optional research program is governed by its own in-app consent at the version you accepted (currently v1.0). Granting it lets receipts you donate cross to the research lab as a PII-free projection (item descriptions and amounts only — never the photograph, name, or account details, per the Privacy Policy). Revoking stops future donations immediately; previously donated projections are handled lab-side. Participation is voluntary, uncompensated, and never affects your claims or access.
Intellectual property
The Service, including the ProofPacket format and seal, is owned by Portobello. ProofPacket™ is a trademark of Portobello. Your receipts and claims data are yours; you grant us only the narrow licenses needed to operate the Service for you (storage, transmission to your designations, and PII-free projection if you consent to research).
Disclaimers and liability
The Service is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law. We do not warrant that categorizations are correct or that any claim will be approved — approval authority always rests with your plan. To the maximum extent permitted by law, Portobello's aggregate liability arising from the Service is limited to one hundred U.S. dollars ($100), and excludes indirect, incidental, and consequential damages. Nothing in these terms limits liability that cannot lawfully be limited.
Changes, termination, and governing law
We may update these terms; material changes will be posted on this page with a new date, and research consent will be re-asked at the new version rather than inherited. We may suspend or terminate access for abuse or legal necessity; you may stop using the Service at any time. Governing law, venue, and dispute-resolution details are to be set by counsel before these terms take effect (draft note: U.S.-focused service today).
